Part 6 – Directors
Background and Rationale:
The proposed revision seeks to better align the makeup of the board with the current needs of Vision Vancouver. As board members now have operational responsibilities, allowing for fewer members than previously provides for greater accountability and a clearer definition of the role of each director.
Be it resolved as a Special Resolution that By-Law 6.4 be amended by adding the words which are underlined.
6.4 There shall be no fewer than 5 and no greater than 11 Directors.
